Terms of Use & Service
1. Introduction
1.1 This website is operated by Vesper Computing LLC, a limited liability company organized under the laws of the State of Wyoming and trading as Greyhound Designs (“we”, “us”, “our”).
1.2 These terms govern your use of this website and summarize the terms on which we supply website design, development and hosting services (the “Services”). By using this website you accept the terms set out in clause 2.
1.3 Where we supply Services, we and the client enter into a separate written agreement (the “Agreement”). The Agreement governs the supply of Services in all respects. Clauses 3 to 10 of this page are a summary provided for information only, and in the event of any inconsistency between this page and the Agreement, the Agreement prevails.
2. Use of this website
2.1 You may access, read and share the content of this website for personal and business reference.
2.2 All text, images, source code and design elements on this website are our property or are used under license. You may not reproduce, distribute or adapt them for commercial purposes without our prior written consent.
2.3 The content of this website is provided for general information. It does not constitute a quotation, an offer capable of acceptance, or professional advice. Prices, inclusions and specifications are subject to change, and the terms binding on us are those recorded in the Agreement as at the date of execution.
3. Services
3.1 We offer the Services on two bases:
- Monthly plan — a recurring fee of $175 per month, the first month payable on commencement, for an initial term of twelve (12) months and continuing month to month thereafter.
- One-time plan — a total fee of $3,500, payable 50% on signature, before work begins, and 50% on completion, before the website is made publicly accessible. Ownership of the completed website passes to the client on final payment. Hosting, edits and ongoing support are not included and are available separately.
3.2 Both plans include the design and build of a website of up to eight (8) pages and on-page search engine optimization.
3.3 The monthly plan additionally includes hosting, SSL certification, daily backups, uptime monitoring, security updates, support, and unlimited edits to the text and images on existing pages.
3.4 Additional pages are charged at $100 each, one time. The addition of a blog is charged at $250, one time. New features, integrations and redesigns are quoted separately. Call tracking with a monthly report, and ongoing Google Business Profile management, are each available at $45 per month and are optional.
4. Fees and payment
4.1 Fees on the monthly plan are payable by card on file with automatic renewal. The billing date is the date of the month on which the Services commenced, and each fee after the first is of the same amount. A receipt is issued automatically for each payment.
4.2 Where a payment fails, we will re-attempt collection and notify the client. A late payment fee of $25 applies following a grace period of seven (7) days.
4.3 Where an account remains unpaid, the website is withdrawn from publication in accordance with the schedule set out in the Agreement.
5. Refunds
5.1 On the monthly plan, we will refund all fees paid, in full, where the client terminates at any time before the launch date or within fourteen (14) days after the launch date. No conditions apply and no amount is pro-rated. Refunds are made within fourteen (14) days of termination.
5.2 More than fourteen (14) days after the launch date, fees already paid are not refundable. The client may still cancel in accordance with clause 6, but cancellation does not operate retrospectively.
5.3 On the one-time plan, amounts paid are refundable until construction of the website begins, and are not refundable thereafter.
6. Term and cancellation
6.1 The initial term of the monthly plan is twelve (12) months. Following the initial term, either party may terminate on thirty (30) days’ written notice.
6.2 Termination by the client during the initial term is governed by the Agreement. In summary, the client pays the balance of the one-time price less all monthly fees already paid, and ownership of the website passes to the client on payment of that amount.
7. Ownership and license
7.1 On the monthly plan the website is licensed to the client for the duration of the Agreement and ownership does not pass. On termination the license ends and the website is withdrawn from publication.
7.2 The following are and remain the client’s property at all times, in every circumstance and including on termination for any reason: the domain name; all content, images and materials supplied by the client; all inquiry, contact, call and form data generated through the website; the client’s Google Business Profile and any other third-party business listing; and copy written by us specifically for the client’s business. We will not withhold or encumber any of these for any reason, including non-payment.
7.3 On the one-time plan, ownership of the completed website passes to the client on receipt of final payment.
7.4 Following termination we retain an archived copy of the website and client materials for twelve (12) months, during which the client may request an export, and delete the archive at the end of that period. Billing and transaction records are retained for as long as applicable law requires.
8. Client obligations
8.1 The client is required to supply content, images and business information within seven (7) days of commencement. Typical build time is seven (7) days from receipt of that material.
8.2 Where materials are not supplied within that period, we may proceed to launch using stock or generated imagery in order to avoid delay. Client photographs supplied subsequently will be substituted at no charge, as an edit under clause 3.3.
9. Disclaimers and limitation of liability
9.1 We do not warrant any particular search engine ranking, volume of traffic, number of inquiries or business outcome.
9.2 Our liability in connection with the Services is limited as set out in the Agreement. Nothing in these terms excludes any liability that cannot be excluded at law.
10. Amendments
10.1 We may amend these terms from time to time. The date at the head of this page records the date of the current version.
10.2 An amendment to this page does not vary an Agreement already in force. The terms applicable to a client are those recorded in the Agreement as at the date of execution.
11. Governing law
11.1 These terms are governed by and construed in accordance with the laws of the State of Wyoming.
